1. Scope

These Terms and Conditions apply to all contracts concluded between

and entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) (“Buyer”).

All deliveries and services are provided exclusively on the basis of these Terms and Conditions.

2. Subject of the Contract

Oruglo operates a B2B wholesale service and sells goods directly to commercial customers. Wholesalers and suppliers deliver goods to Oruglo; resale is carried out exclusively by Oruglo.

3. Conclusion of Contract

The presentation of products on the website does not constitute a legally binding offer, but an invitation to place an order.

A contract is concluded only once Oruglo confirms the order in writing by email.

4. Prices, Shipping Costs & Import Duties

All prices are net prices plus statutory VAT.
Shipping costs are fully included in the stated product price.
Import duties, customs fees, or other import-related costs may be listed and charged separately.

5. Payment

Payment by bank transfer, advance payment, or another separately agreed payment method.
Invoices are due immediately without deduction.
In the event of late payment, Oruglo reserves the right to suspend or refuse deliveries.

6. Delivery

Shipping is carried out exclusively by Oruglo or commissioned service providers.
Delivery times vary depending on availability, import processes, and logistics.
Partial deliveries are permitted if reasonable.

7. Transfer of Risk

The risk transfers to the Buyer as soon as the goods are handed over to the transport service provider.

8. Transport Damage, Shortages & Defects

Shortages / Incorrect Deliveries

Missing or incorrect items must be reported within 3 business days.

Hidden Defects

Hidden defects must be reported no later than 7 business days after discovery.

Resolution

Replacement goods
Repair
Credit note or refund

Returns may only be made after prior approval by Oruglo.

9. Retention of Title

The goods remain the property of Oruglo until full payment has been received.

10. Liability

Liability only in cases of intent and gross negligence
No liability for lost profits or consequential damages
Liability for slight negligence only in the case of essential contractual obligations

11. Returns

Returns only after prior consultation
Unpaid returns will not be accepted
Goods must be in their original condition

12. Data Protection

The Privacy Policy of Oruglo applies.

13. Final Provisions

The law of the Federal Republic of Germany applies
Place of jurisdiction is Cologne
Amendments must be made in writing
If individual provisions are invalid, the validity of the remaining provisions shall remain unaffected
